TERMS & CONDITIONS – Asap Logistics Inc.
1. Broker Role
ASAP Logistics Inc. is a licensed freight broker and NOT a motor carrier. The Company arranges transportation services through authorized third-party carriers.
2. Services
We arrange transportation between shippers and carriers. All transportation services are performed by independent third-party carriers.
3. Limitation of Liability
ASAP Logistics Inc. shall NOT be liable for any cargo loss, damage, or delay.
All claims must be filed directly with the responsible carrier.
4. Payment Terms
Payments must be made as agreed. Late payments may incur additional fees, penalties, or interest.
We reserve the right to suspend services for non-payment.
5. Shipper Responsibilities
Shippers are responsible for:
– Providing accurate shipment details
– Proper packaging and labeling
– Compliance with all applicable laws and regulations
6. Non-Circumvention
Shipper and/or carrier agrees not to bypass ASAP Logistics Inc. to conduct business directly for a period of 12 months.
Violation will result in a penalty equal to 15% of total freight value or $5,000 (whichever is greater).
7. Indemnification
You agree to defend, indemnify, and hold harmless ASAP Logistics Inc. from any claims, damages, losses, or liabilities arising out of your use of our services.
8. Force Majeure
We shall not be held liable for delays or failure in performance due to events beyond our control, including but not limited to natural disasters, weather conditions, strikes, or government actions.
9. Confidentiality
All business, operational, and customer information exchanged shall remain strictly confidential and shall not be disclosed without prior written consent.
10. Governing Law
This Agreement shall be governed by the laws of the State of Indiana.
Jurisdiction shall lie exclusively in Johnson County, Indiana.
11. SMS Terms of Service
By providing your phone number and consenting to receive SMS communications from ASAP Logistics Inc., you agree to receive conversational, informational, and operational messages related to our freight brokerage services. These messages may include, but are not limited to:
– Shipment updates
– Load and dispatch information
– Appointment scheduling
– Account or service notifications
